1. Предмет

Надавач надає доступ до онлайн-сервісу автоматичної обробки відео Lumadeos (хмарна студія, десктоп-додаток, AI-функції), а Користувач приймає та оплачує послуги на умовах цієї Оферти. Оплата тарифу чи годин, реєстрація або користування Сервісом є повним і безумовним акцептом.

2. Тарифи

• Безкоштовний — 15 хвилин обробки, 10 000 токенів AI-агента і 50 пробних токенів на генерації на місяць, 0 ₴. Акція: до 31 грудня 2026 року включно користувачі безкоштовного тарифу отримують 60 хвилин обробки на місяць; строк і обсяг акційних хвилин Надавач може змінювати, чинні значення показуються в кабінеті й на сторінці тарифів.
• Плюс — щомісячно безкоштовні хвилини плюс 1 година обробки понад них, 250 токенів на генерації, 16 000 токенів AI-агента і 20 хвилин озвучки на місяць, відкриває платні генерації; 1 099 ₴ / 30 днів.
• Старт — 5 годин обробки, 2 000 токенів на генерації і 30 000 токенів AI-агента на місяць, 3 999 ₴ / 30 днів.
• Стандарт — 15 годин обробки, 6 000 токенів на генерації і 90 000 токенів AI-агента на місяць, 9 999 ₴ / 30 днів.
• Разова докупівля години — 1 099 ₴ за годину, разовий платіж, доступно на будь-якому тарифі; година діє 30 днів з моменту оплати, додає 200 токенів на генерації, 6 000 токенів AI-агента, 15 хвилин озвучки і на строк дії відкриває платні генерації.

Підписки «Плюс», «Старт» і «Стандарт» діють 30 днів з моменту оплати; повторна оплата того самого тарифу до завершення строку продовжує його від дати завершення. Під час оплати Користувач може увімкнути автопродовження (регулярний платіж WayForPay): та сама сума списується з прив'язаної картки кожні 30 днів, про майбутнє списання WayForPay повідомляє заздалегідь. Вимкнути автопродовження можна будь-коли в налаштуваннях акаунта або за посиланням у листі WayForPay — уже оплачений період діє до кінця, кошти за нього не повертаються. Без автопродовження кожен наступний період оплачується окремо.

Разові години й бонусні години (докуплені, за реферальною програмою, порогові) витрачаються один раз: спершу списуються місячні хвилини тарифу, понад них — разові години в порядку завершення їхнього строку. Невикористаний залишок разової години переходить на наступний календарний місяць до завершення її 30-денного строку.

«Чат-відео» (Lumadeos Chats) списують токени генерацій того ж тарифу за діями: генерація сценарію (сценарист + редактор-критик) — 20 токенів; переписування діалогу — 12; варіанти однієї репліки — 3; рендер короткого ролика (до 35 с) — 10; рендер довгого (до 150 с) — 25; додатковий формат кадру (4:5, 1:1) у пакеті — 6; генерація музичного треку (Mureka) — 25 за варіант; треки з бібліотеки — безкоштовно; повторний рендер того самого таймлайна — 50 % вартості; другий варіант того ж стилю («сира» переписка без ефектів і музики або «оброблена») чи інша тема/формат — 6 токенів; пакет скриншотів входить у рендер. Озвучка реплік списує хвилини озвучки тарифу за загальними правилами. Безкоштовний тариф включає 3 сценарії та 3 короткі рендери на місяць у двох стилях (Clean, T-месенджер) з водяним знаком; решта стилів, пакетний мультиекспорт, переписування, варіанти реплік, власні треки та генерація музики — на платних тарифах або з докупленими годинами. Тарифні значення можуть змінюватися; чинні показуються в кабінеті перед списанням. Токени резервуються перед виконанням і повертаються, якщо операція не вдалася.

Хвилини списуються за: завантаження відео на обробку в хмарі (за тривалістю вихідного файлу) і транскрипцію з десктопа (за тривалістю аудіо). Токени списуються за: генерацію контенту (зображення 5–25, музика 25, відео 13–18 токенів за секунду залежно від моделі) та роботу AI-агента десктопа (1 токен за 1000 LLM-токенів). Безкоштовний тариф містить 50 пробних токенів на генерації на місяць; текстовий чат AI-агента має окремий місячний ліміт за тарифом: 10 000 (Безкоштовний), 16 000 (Плюс), 30 000 (Старт), 90 000 (Стандарт) токенів. Повторні обробки того самого відео через AI-агента хмари (нові версії, перерендери, метадані) додатково не тарифікуються. Локальний монтаж у десктопі не витрачає нічого.

Рілси (нарізка коротких вертикальних кліпів) доступні на всіх тарифах, включно з Безкоштовним, і окремої плати не мають: у хмарі нарізка вже обробленого відео хвилин повторно не списує; у десктоп-додатку списуються лише стандартні хвилини за хмарну транскрипцію джерела (один раз — повторні нарізки використовують кеш) за загальними правилами тарифу. Кількість і тривалість кліпів технічно обмежені інтерфейсом; Надавач може застосовувати розумні ліміти частоти для захисту від зловживань.

3. Оплата

Оплата здійснюється у гривні одним зі способів:

• Карткою через WayForPay (ТОВ «ВЕЙ ФОР ПЕЙ»). Надавач не отримує і не зберігає дані платіжних карток.
• Безготівково за рахунком — для компаній, ФОП і, за бажанням, фізичних осіб. У кабінеті ви замовляєте рахунок і вказуєте реквізити платника; тариф чи пакет активується після підтвердження зарахування коштів на рахунок Надавача. Якщо надійшла сума, менша за суму рахунку, послуга активується лише за окремим погодженням Надавача. Повернення коштів за безготівковою оплатою здійснюється на рахунок платника з одночасним припиненням доступу до оплаченого тарифу чи пакета.

Датою оплати є дата зарахування коштів.

Генерації через ваші підключені акаунти сторонніх сервісів (наприклад Krea чи Higgsfield) Надавач не тарифікує: за них не списуються токени чи хвилини вашого тарифу, їх оплачуєте ви напряму постачальнику за його умовами. Тарифікуються лише операції, які виконує сам Сервіс (обробка відео, робота AI-агента, рендери, власні генерації Сервісу тощо).

4. Повернення коштів

• Підписка або години, з яких не використано жодної хвилини, можуть бути повернені протягом 14 днів з моменту оплати за зверненням на contact@learntoearn.global.
• Після початку використання (списання хвилин) кошти за поточний період не повертаються, оскільки послуга є цифровим контентом, що надається негайно.
• Невикористані хвилини тарифу згорають наприкінці календарного місяця; невикористаний залишок разових і бонусних годин згорає після завершення їхнього 30-денного строку.

5. Права на результати

Права на результати обробки та згенерований контент належать Користувачу в межах, дозволених умовами відповідних моделей-провайдерів. Користувач самостійно відповідає за правомірність використання результатів.

Ролики «Переписок» містять вигаданих персонажів і репліки, створені моделями ШІ, та стилізацію під інтерфейси месенджерів без використання їхніх логотипів, іконок і назв; Надавач не є афілійованим з операторами месенджерів. Музика з бібліотеки Lumadeos створена генеративними моделями (Mureka) або синтезована Надавачем і надається з правом комерційного використання у ваших відео; згенеровані на ваш запит треки зберігаються у вашій бібліотеці. Публікуючи ролик, Користувач зобов'язаний не видавати вигадану переписку за справжню; рекомендоване зазначення про вигаданість додається до підпису за замовчуванням.

Десктоп-додаток містить компоненти з відкритим кодом (ліцензія GPL v3) і локальні моделі обробки звуку (DeepFilterNet3 — Apache-2.0/MIT, Silero VAD v5 — MIT, WeSpeaker ResNet34-LM — MIT); сирцевий код додатка доступний за адресою /downloads/lumadeos-studio-source.tar.gz. 6. Відповідальність

Застосовуються розділи 3–5 та 7 Правил користування: відповідальність за контент — на Користувачеві; дані у хмарі можуть бути видалені у будь-який момент; локальна робота десктопа — на ризик Користувача; сукупна відповідальність Надавача обмежена сплаченою за останні 30 днів сумою.

7. Строк і розірвання

Оферта діє безстроково. Користувач може припинити користування будь-коли. Надавач може розірвати договір і заблокувати акаунт у разі порушення Правил.

8. Реферальна програма

Кожен користувач має персональне посилання-запрошення. Винагорода нараховується обом сторонам — і тому, хто запросив, і запрошеному — після першої обробки відео запрошеним користувачем («активації»). За замовчуванням кожна сторона отримує однаковий бонус: +1 годину обробки та +6 000 токенів AI-агента (генеративні токени до реферального бонусу не входять). Бонуси діють 30 днів з моменту нарахування, після чого згорають; їхній розмір надавач може змінювати. Додатково лише тому, хто запрошує, надаються разові порогові винагороди: безкоштовний місяць тарифу «Старт» за 5 активованих друзів і місяць тарифу «Стандартний» за 10 — по одному разу на акаунт.

Окремим користувачам Надавач може запропонувати індивідуальні партнерські умови (винагороду за залучених клієнтів); такі умови погоджуються окремо і надаються виключно за рішенням Надавача. Разовий бонус +1 година обробки за кожного активованого клієнта зберігається і для учасників партнерських умов, і для їхніх клієнтів.

Надавач має право скасувати або відкликати бонуси та винагороди у разі зловживань (зокрема самозапрошення, фіктивних акаунтів, шахрайства) або у разі повернення коштів за оплату, з якої нараховано винагороду. Надавач може змінювати умови реферальної програми та індивідуальних партнерських домовленостей; зміни діють з моменту публікації і не поширюються на вже нараховані винагороди.

9. Водяний знак

На готових відео, оброблених у Сервісі на безкоштовному тарифі (включно з роликами «Переписок»), може розміщуватися малий напис (водяний знак) «Made with Lumadeos.com» у правому нижньому куті кадру. На безкоштовному тарифі знак увімкнено за замовчуванням і його можна вимкнути будь-коли в налаштуваннях акаунта — у хмарній студії або в десктоп-додатку. При оплаті будь-якого тарифу або докупці годин водяний знак вимикається автоматично і на відео не додається.

Public Agreement (Public Offer)

Version of 24 October 2026. Effective from the moment of publication.

This English version is a translation provided for convenience. If it differs from the Ukrainian version, the Ukrainian version prevails.

1. Subject Matter

The Provider grants access to the Lumadeos online service for automated video processing (cloud studio, desktop application, AI features), and the User accepts and pays for the services on the terms of this Public Offer. Payment for a plan or for hours, registration, or use of the Service constitutes full and unconditional acceptance.

2. Plans

• Free — 15 processing minutes, 10,000 AI agent tokens and 50 trial generation tokens per month, UAH 0. Promotion: until 31 December 2026 inclusive, users of the Free plan receive 60 processing minutes per month; the Provider may change the duration and amount of the promotional minutes; the current values are shown in the Account (dashboard) and on the pricing page.
• Plus — the monthly free minutes plus 1 hour of processing on top of them, 250 generation tokens, 16,000 AI agent tokens and 20 minutes of voiceover per month; unlocks paid generations; UAH 1,099 / 30 days.
• Start — 5 hours of processing, 2,000 generation tokens and 30,000 AI agent tokens per month, UAH 3,999 / 30 days.
• Standard — 15 hours of processing, 6,000 generation tokens and 90,000 AI agent tokens per month, UAH 9,999 / 30 days.
• One-time hour top-up — UAH 1,099 per hour, a one-time payment, available on any plan; the hour is valid for 30 days from the moment of payment, adds 200 generation tokens, 6,000 AI agent tokens and 15 minutes of voiceover, and unlocks paid generations for its validity period.

The Plus, Start and Standard subscriptions are valid for 30 days from the moment of payment; a repeat payment for the same plan before the end of the term extends it from the expiry date. When paying, the User may enable auto-renewal (a WayForPay recurring payment): the same amount is charged to the linked card every 30 days, and WayForPay gives advance notice of the upcoming charge. Auto-renewal may be disabled at any time in the account settings or via the link in the WayForPay email; the period already paid for remains in effect until its end, and the funds for it are not refunded. Without auto-renewal, each subsequent period is paid for separately.

One-time hours and bonus hours (purchased, received under the referral program, milestone) are consumed once: the plan's monthly minutes are charged first, and beyond them, one-time hours in order of their expiry. The unused balance of a one-time hour carries over to the next calendar month until the end of its 30-day term.

"Chat Videos" (Lumadeos Chats) consume generation tokens of the same plan per action: script generation (scriptwriter + critic editor) — 20 tokens; dialogue rewrite — 12; variants of a single line — 3; render of a short video (up to 35 s) — 10; render of a long video (up to 150 s) — 25; an additional frame format (4:5, 1:1) in a batch — 6; music track generation (Mureka) — 25 per variant; tracks from the library — free of charge; re-rendering the same timeline — 50% of the cost; a second variant of the same style (a "raw" chat without effects and music, or a "processed" one) or a different theme/format — 6 tokens; the screenshot pack is included in the render. Voiceover of lines consumes the plan's voiceover minutes under the general rules. The Free plan includes 3 scripts and 3 short renders per month in two styles (Clean, T-messenger) with a watermark; the remaining styles, batch multi-export, rewriting, line variants, custom tracks and music generation are available on paid plans or with purchased hours. Plan values may change; the current values are shown in the dashboard before charging. Tokens are reserved before execution and returned if the operation fails.

Minutes are charged for: uploading a video for processing in the cloud (based on the duration of the source file) and transcription from the desktop application (based on the duration of the audio). Tokens are charged for: content generation (images 5–25, music 25, video 13–18 tokens per second depending on the model) and the work of the desktop AI agent (1 token per 1,000 LLM tokens). The Free plan includes 50 trial generation tokens per month; the AI agent text chat has a separate monthly limit depending on the plan: 10,000 (Free), 16,000 (Plus), 30,000 (Start), 90,000 (Standard) tokens. Repeated processing of the same video via the cloud AI agent (new versions, re-renders, metadata) is not charged additionally. Local editing in the desktop application consumes nothing.

Reels (cutting of short vertical clips) are available on all plans, including the Free plan, and are not subject to a separate fee: in the cloud, cutting an already processed video does not charge minutes again; in the desktop application, only the standard minutes for cloud transcription of the source are charged (once — repeated cuts use the cache) under the general plan rules. The number and duration of clips are technically limited by the interface; the Provider may apply reasonable rate limits to protect against abuse.

3. Payment

Payment is made in Ukrainian hryvnia by one of the following methods:

• By card via WayForPay (WAY FOR PAY LLC). The Provider does not receive or store payment card data.
• By bank transfer against an invoice — for companies, sole proprietors and, if they wish, individuals. In the dashboard you request an invoice and enter the payer’s details; the plan or package is activated after the funds are confirmed as credited to the Provider’s account. If the amount received is less than the invoice amount, the service is activated only with the Provider’s separate approval. Refunds of bank-transfer payments are made to the payer’s account with simultaneous termination of access to the paid plan or package.

The date of payment is the date on which the funds are credited.

Generations made through your connected accounts of third-party services (for example Krea or Higgsfield) are not charged by the Provider: no tokens or minutes of your plan are deducted for them, and you pay for them directly to the provider under its terms. Only operations performed by the Service itself are charged (video processing, the AI agent, rendering, the Service’s own generations, etc.).

4. Refunds

• A subscription or hours of which not a single minute has been used may be refunded within 14 days from the moment of payment upon request to contact@learntoearn.global.
• After use has begun (minutes have been charged), the funds for the current period are not refunded, since the service constitutes digital content supplied immediately.
• Unused plan minutes expire at the end of the calendar month; the unused balance of one-time and bonus hours expires upon the end of their 30-day term.

5. Rights to Results

The rights to the processing results and generated content belong to the User to the extent permitted by the terms of the respective model providers. The User is solely responsible for the lawfulness of the use of the results.

"Chat Videos" clips contain fictional characters and lines created by AI models, and styling that imitates messenger interfaces without the use of their logos, icons or names; the Provider is not affiliated with messenger operators. Music from the Lumadeos library is created by generative models (Mureka) or synthesized by the Provider and is provided with the right of commercial use in your videos; tracks generated at your request are stored in your library. When publishing a video, the User undertakes not to present a fictional chat as a genuine one; a recommended notice that the chat is fictional is added to the caption by default.

The desktop application contains open-source components (GPL v3 license) and local audio processing models (DeepFilterNet3 — Apache-2.0/MIT, Silero VAD v5 — MIT, WeSpeaker ResNet34-LM — MIT); the source code of the application is available at /downloads/lumadeos-studio-source.tar.gz. Details are set out in Section 8 of the Terms of Use.

6. Liability

Sections 3–5 and 7 of the Terms of Use apply: responsibility for content lies with the User; data in the cloud may be deleted at any time; local operation of the desktop application is at the User's own risk; the Provider's aggregate liability is limited to the amount paid over the last 30 days.

7. Term and Termination

The Public Offer is valid indefinitely. The User may stop using the Service at any time. The Provider may terminate the agreement and block the account in the event of a breach of the Terms of Use.

8. Referral Program

Each user has a personal invitation link. The reward is credited to both parties — both the inviter and the invitee — after the invited user's first video processing ("activation"). By default, each party receives the same bonus: +1 hour of processing and +6,000 AI agent tokens (generation tokens are not included in the referral bonus). Bonuses are valid for 30 days from the moment they are credited, after which they expire; their amount may be changed by the Provider. Additionally, only the inviter is granted one-time milestone rewards: a free month of the Start plan for 5 activated friends and a month of the Standard plan for 10 — once per account.

The Provider may offer certain users individual partner terms (a reward for referred customers); such terms are agreed separately and granted solely at the Provider's discretion. The one-time bonus of +1 hour of processing for each activated customer is retained both for participants in partner terms and for their customers.

The Provider has the right to cancel or revoke bonuses and rewards in the event of abuse (in particular, self-invitation, fictitious accounts, fraud) or in the event of a refund of the payment from which a reward was credited. The Provider may change the terms of the referral program and of individual partner arrangements; changes take effect from the moment of publication and do not apply to rewards already credited.

9. Watermark

Finished videos processed in the Service on the Free plan (including "Chat Videos" clips) may bear a small caption (watermark) "Made with Lumadeos.com" in the bottom right corner of the frame. On the Free plan, the watermark is enabled by default and can be disabled at any time in the account settings — in the cloud studio or in the desktop application. Upon payment for any plan or purchase of additional hours, the watermark is disabled automatically and is not added to videos.
