1. Прийняття правил

Реєструючись або користуючись Сервісом, ви укладаєте договір із Надавачем на умовах цих Правил, Публічної оферти та Політики конфіденційності. Якщо ви не згодні — не користуйтесь Сервісом.

Сервіс призначений для осіб, яким виповнилося 16 років. Якщо вам менше 18 років, оплачувати послуги ви можете лише за згодою батьків або інших законних представників.

2. Що робить Сервіс

Сервіс автоматично обробляє відео (звук, монтаж, субтитри, метадані, обкладинки), створює короткі вертикальні кліпи («Рілси») з довгих відео — включно з автоматичним вибором моментів за транскриптом, автоматичним кадруванням кадру (зокрема за положенням облич і вмісту екрана) та накладанням субтитрів і заголовків, — надає готові шаблони компонування відео, AI-агента та інструменти генерації контенту. Результати створюються алгоритмами й моделями ШІ і можуть містити помилки — ви зобов'язані перевіряти результат перед використанням. Функція «Рілси» доступна на всіх тарифах, включно з безкоштовним, і окремо не тарифікується — діють стандартні ліміти хвилин і токенів вашого тарифу.

«Чат-відео» (Lumadeos Chats) — функція, що за вашим описом теми генерує за допомогою моделей ШІ вигаданий діалог у форматі переписки й рендерить його як анімоване вертикальне відео у візуальному стилі месенджерів, з музикою з бібліотеки або згенерованою, озвучкою, субтитрами й накладками. Візуальні стилі відтворюють лише загальний вигляд інтерфейсів (кольори, геометрію, ритм) і не використовують логотипів, іконок чи назв месенджерів; Надавач не афілійований з Telegram, WhatsApp, Meta, Apple, Google, Signal, Discord, Slack, Microsoft, TikTok, X або будь-яким іншим оператором месенджерів, а назви цих продуктів, якщо згадуються у довідці, є власністю їхніх правовласників. Усі персонажі та репліки в згенерованих переписках є вигаданими; до підпису ролика за замовчуванням додається зазначення про вигаданість, а кожна переписка завершується реплікою, в якій співрозмовник погоджується на її публікацію — це частина вигаданого сюжету, а не згода реальної особи. Візуальні стилі відтворюють елементи інтерфейсу (статус-бар, шапка, бульбашки, поле вводу) для реалістичності; це не є записом справжнього застосунку чи справжньої переписки. Функція працює для 12 мов контенту (українська, англійська, іспанська, французька, португальська, польська, італійська, румунська, латвійська, литовська, естонська, фінська); російська мова не підтримується. Тарифікація — у токенах генерацій згідно з Публічною офертою; безкоштовний тариф має місячну квоту та водяний знак.

3. Ваш контент і ваша відповідальність

• Ви гарантуєте, що маєте всі права на матеріали, які завантажуєте чи обробляєте, включно з правами на зображення осіб, музику, товарні знаки та інші об'єкти прав. Завантажуючи власний музичний трек для «Переписок», ви підтверджуєте наявність прав на його використання у ваших відео; факт такого підтвердження ми зберігаємо.
• Ви не використовуєте «Чат-відео» для створення діалогів від імені реальних осіб, компаній чи брендів, для дифамації, введення в оману (зокрема шахрайських «доказів» переказів чи листувань), а також для контенту, що видає вигадану переписку за справжню. Автоматична модерація блокує лише кримінальний мінімум (сексуальне насильство над дітьми, інструкції до терактів); згадування реальних осіб, брендів і сервісів не блокується — відповідальність за такий контент несе користувач
• Всю відповідальність за зміст матеріалів — що ви знімаєте, завантажуєте, обробляєте і публікуєте — несете виключно ви. Надавач не переглядає, не модерує і не схвалює контент користувачів та не несе за нього жодної відповідальності.
• Заборонено використовувати Сервіс для незаконного контенту, порушення чужих прав, дезінформації, deepfake без згоди зображених осіб, шкідливого чи образливого матеріалу.
• Ми маємо право призупинити чи видалити акаунт і будь-який контент у разі порушення цих Правил, запиту компетентних органів або на власний розсуд, без компенсації.

4. Дані у хмарі

• Завантажені файли й результати обробки зберігаються на серверах Надавача для надання послуг.
• Ми маємо право використовувати збережені дані для роботи, підтримки, захисту та покращення Сервісу (включно з аналітикою використання функцій, описаною в Політиці конфіденційності, від якої можна відмовитися в налаштуваннях), а також видалити їх раніше строку зберігання без попередження в разі порушення цих Правил, на вимогу компетентних органів або якщо цього вимагає безпека Сервісу. Сервіс не є сховищем: зберігайте власні копії матеріалів. Ми не гарантуємо збереження чи резервне копіювання даних.
• Строк зберігання відео залежить від тарифу. Поки діє платний тариф, відео не видаляються; після закінчення оплаченого періоду вони зберігаються ще 3 місяці («Плюс»), 6 місяців («Старт») або 12 місяців («Стандартний»), а продовження підписки продовжує зберігання всіх відео. На безкоштовному тарифі — 1 місяць від дня створення відео. Після строку відео видаляються, починаючи з найстаріших. За 7 днів до видалення ми надсилаємо лист і показуємо дату видалення в кабінеті; оплата тарифу до цієї дати зберігає відео. Ці строки діють з 10 листопада 2026 р.; для відео, створених раніше, строк на безкоштовному тарифі рахується від цієї дати. Ці строки стосуються лише відео в хмарі; проєктів і файлів застосунку для Mac вони не стосуються (розділ 5). Детальніше — у Політиці конфіденційності (розділ 5).

5. Десктоп-додаток

• Обробка у Lumadeos Studio виконується локально на вашому комп'ютері. Ми не отримуємо, не зберігаємо і не бачимо ваші локальні проєкти та файли.
• Усі ризики локальної роботи (втрата файлів, збої, результати монтажу) ви берете на себе.
• Окремі функції десктопа (транскрипція, AI-агент, генерація) звертаються до хмари — до таких операцій застосовуються «хмарні» умови цих Правил.
• Якщо увімкнено «аналітику використання», додаток надсилає нам події використання функцій (назва функції, результат, тривалість — без вмісту проєктів); її можна вимкнути в налаштуваннях додатка або кабінету.

6. Тарифи й оплата

Тарифи (Безкоштовний, Плюс, Старт, Стандарт) і їхнє порівняння опубліковані на сайті (сторінка тарифів). Оплата — через платіжний сервіс WayForPay або безготівково за рахунком. Генерації, виконані через ваші підключені акаунти сторонніх сервісів (розділ 10), Надавач не тарифікує. Підписки діють 30 днів з моменту оплати, хвилини тарифу оновлюються щомісяця; докуплені й бонусні години діють 30 днів і витрачаються один раз. Строк зберігання відео в хмарі також залежить від тарифу (розділ 4). Порядок оплат і повернень — у Публічній оферті.

7. Відмова від гарантій і обмеження відповідальності

• Сервіс надається «як є» і «як доступно», без будь-яких гарантій.
• Надавач не відповідає за непрямі збитки, втрачену вигоду, втрату даних чи репутаційну шкоду.
• Сукупна відповідальність Надавача за будь-якими вимогами обмежена сумою, фактично сплаченою вами за Сервіс за останні 30 днів до події.

8. Програмне забезпечення з відкритим кодом

Десктоп-додаток Lumadeos Studio містить програмне забезпечення з відкритим кодом і розповсюджується за ліцензією GNU GPL v3. Повний текст ліцензії, відомості про правовласників і перелік внесених змін містяться у файлах LICENSE і NOTICE.md всередині завантаженого образу. Відповідно до GPL v3 сирцевий код десктоп-додатка доступний для завантаження: lumadeos-studio-source.tar.gz (або за запитом на contact@learntoearn.global).

Додаток також містить моделі обробки звуку, які працюють локально на вашому Mac: DeepFilterNet3 (чистка мовлення, ліцензія Apache-2.0/MIT), Silero VAD v5 (детекція мовлення, MIT) і WeSpeaker ResNet34-LM (розпізнавання спікерів, MIT). Повні ліцензійні тексти й посилання на першоджерела — у файлі NOTICE.md всередині образу.

Хмарна частина Сервісу є окремим твором і під дію GPL не підпадає. Правовласники компонентів з відкритим кодом не є надавачами Сервісу, не схвалюють його і не несуть щодо нього жодних зобов'язань.

9. Компанії (командні акаунти)

• Акаунт компанії створює її власник. Власник і адміністратори керують учасниками, ролями, особистими лімітами й оплатою, бачать увесь контент компанії, журнал дій і використання учасників. Кожен учасник бачить свій контент і той, яким із ним поділилися; видаляти контент може його автор або адміністратор.
• Щодо контенту й даних учасників у межах компанії володільцем персональних даних є компанія, а Надавач обробляє їх за її дорученням. Власник відповідає за законність запрошення учасників і за те, щоб вони ознайомилися з цими Правилами. На запит укладаємо договір доручення на обробку даних (DPA).
• Вилучений учасник втрачає доступ до контенту компанії; контент лишається в компанії. Обсяг тарифу компанії спільний для всіх учасників.

10. Підключені ШІ-асистенти й сторонні сервіси

• ШІ-асистенти (MCP). Ви можете підключити до Lumadeos ШІ-асистента (наприклад Claude чи ChatGPT) або іншу програму через протокол MCP — до хмари й до застосунку для Mac. Асистент діє від вашого імені в межах наданого доступу: створює задачі, змінює відео й проєкти, витрачає хвилини й токени вашого тарифу. Ви відповідаєте за дії підключених асистентів як за власні. Доступ можна відкликати в налаштуваннях MCP або змінивши пароль (це завершує всі сесії).
• Акаунти сторонніх сервісів (наприклад Krea, Higgsfield). Ви можете підключити до Lumadeos власні акаунти сторонніх сервісів генерації. Ви підтверджуєте, що маєте право користуватися таким акаунтом, і погоджуєтеся з умовами відповідного сервісу. Lumadeos передає сервісу ваші запити (промпти, зображення, відео) лише за вашою вказівкою або вказівкою вашого агента. Такі генерації оплачуються вами напряму постачальнику; Надавач їх не тарифікує і не відповідає за доступність, якість, вартість, ліцензійні умови й зміст результатів сторонніх сервісів. Підключення можна вимкнути будь-коли — збережені токени доступу при цьому видаляються.

11. Інше

Ми можемо змінювати Правила, публікуючи нову редакцію на цій сторінці; про суттєві зміни повідомимо листом або в кабінеті. Продовження користування — згода зі змінами. Ніщо в цих Правилах не обмежує прав, які вам надає обов'язкове законодавство про захист прав споживачів країни вашого проживання. Застосовується право України; спори — у суді за місцезнаходженням Надавача, якщо імперативні норми права країни проживання споживача не передбачають іншого.

Terms of Use

Version of 26 October 2026. Effective from the moment of publication.

This English version is a translation provided for convenience. If it differs from the Ukrainian version, the Ukrainian version prevails.

1. Acceptance of the Terms of Use

By registering for or using the Service, you enter into an agreement with the Provider on the terms of these Terms of Use, the Public Offer and the Privacy Policy. If you do not agree, do not use the Service.

The Service is intended for persons aged 16 and over. If you are under 18, you may pay for services only with the consent of your parents or other legal guardians.

2. What the Service Does

The Service automatically processes video (audio, editing, subtitles, metadata, cover images), creates short vertical clips ("Reels") from long videos — including automatic selection of moments based on the transcript, automatic framing (in particular, based on the position of faces and on-screen content) and overlaying of subtitles and titles — and provides ready-made video layout templates, an AI agent and content generation tools. Results are produced by algorithms and AI models and may contain errors; you are obliged to review the result before use. The "Reels" feature is available on all plans, including the free plan, and is not charged separately; the standard minute and token limits of your plan apply.

"Chat Videos" (Lumadeos Chats) is a feature that, based on your description of a topic, uses AI models to generate a fictional dialogue in the form of a message thread and renders it as an animated vertical video in the visual style of messaging apps, with music from the library or generated music, voice-over, subtitles and overlays. The visual styles reproduce only the general appearance of interfaces (colors, geometry, rhythm) and do not use the logos, icons or names of messaging apps; the Provider is not affiliated with Telegram, WhatsApp, Meta, Apple, Google, Signal, Discord, Slack, Microsoft, TikTok, X or any other messaging app operator, and the names of these products, if mentioned in the help materials, are the property of their respective rights holders. All characters and lines in generated chats are fictional; by default, a statement that the content is fictional is added to the video caption, and each chat ends with a line in which the other party agrees to its publication — this is part of the fictional storyline, not the consent of a real person. The visual styles reproduce interface elements (status bar, header, bubbles, input field) for realism; this is not a recording of a real application or a real conversation. The feature works with 12 content languages (Ukrainian, English, Spanish, French, Portuguese, Polish, Italian, Romanian, Latvian, Lithuanian, Estonian, Finnish); Russian is not supported. Charging is in generation tokens in accordance with the Public Offer; the free plan has a monthly quota and a watermark.

3. Your Content and Your Responsibility

• You warrant that you hold all rights to the materials you upload or process, including rights to the images of persons, music, trademarks and other objects of rights. By uploading your own music track for "Chat Videos", you confirm that you hold the rights to use it in your videos; we retain a record of such confirmation.
• You shall not use "Chat Videos" to create dialogues on behalf of real persons, companies or brands, for defamation or deception (including fraudulent "proof" of money transfers or correspondence), or for content that passes off a fictional conversation as genuine. Automated moderation blocks only the criminal minimum (child sexual abuse, instructions for terrorist attacks); mentions of real persons, brands and services are not blocked — the User bears responsibility for such content.
• You alone bear full responsibility for the content of the materials — what you film, upload, process and publish. The Provider does not review, moderate or approve users' content and bears no responsibility whatsoever for it.
• It is prohibited to use the Service for unlawful content, infringement of the rights of others, disinformation, deepfakes without the consent of the persons depicted, or harmful or offensive material.
• We have the right to suspend or delete an account and any content in the event of a breach of these Terms of Use, upon a request from competent authorities, or at our own discretion, without compensation.

4. Data in the Cloud

• Uploaded files and processing results are stored on the Provider's servers for the purpose of providing the services.
• We have the right to use stored data for the operation, support, protection and improvement of the Service (including feature usage analytics described in the Privacy Policy, which you can opt out of in settings), and to delete it before the end of the storage period without prior notice in the event of a breach of these Terms of Use, upon a request from competent authorities, or if the security of the Service requires it. The Service is not a storage facility: keep your own copies of your materials. We do not guarantee the retention or backup of data.
• The storage period for videos depends on your plan. While a paid plan is active, videos are not deleted; after the paid period ends, they are kept for another 3 months (Plus), 6 months (Start) or 12 months (Standard), and renewing your subscription extends storage for all your videos. On the Free plan — 1 month from the day a video is created. After that period, videos are deleted, starting with the oldest. 7 days before deletion we send an email and show the deletion date in the dashboard; paying for a plan before that date keeps the video. These periods apply from 10 November 2026; for videos created earlier, the Free plan period is counted from that date. These periods apply only to videos in the cloud, not to projects and files of the Mac app (section 5). See the Privacy Policy (section 5) for details.

5. Desktop Application

• Processing in Lumadeos Studio is performed locally on your computer. We do not receive, store or see your local projects and files.
• You assume all risks of local work (loss of files, malfunctions, editing results).
• Certain desktop features (transcription, AI agent, generation) access the cloud; the "cloud" provisions of these Terms of Use apply to such operations.
• If “usage analytics” is on, the application sends us feature usage events (feature name, outcome, duration — without project content); you can turn it off in the application or dashboard settings.

6. Plans and Payment

The plans (Free, Plus, Start, Standard) and their comparison are published on the website (pricing page). Payment is made via the WayForPay payment service or by bank transfer against an invoice. Generations made through your connected accounts of third-party services (section 10) are not charged by the Provider. Subscriptions are valid for 30 days from the date of payment, and plan minutes are renewed monthly; additionally purchased and bonus hours are valid for 30 days and are consumed only once. The storage period for videos in the cloud also depends on the plan (section 4). The procedure for payments and refunds is set out in the Public Offer.

7. Disclaimer of Warranties and Limitation of Liability

• The Service is provided "as is" and "as available", without any warranties.
• The Provider is not liable for indirect damages, lost profits, loss of data or reputational harm.
• The Provider's aggregate liability under any claims is limited to the amount actually paid by you for the Service during the 30 days preceding the event.

8. Open-Source Software

The Lumadeos Studio desktop application contains open-source software and is distributed under the GNU GPL v3 license. The full text of the license, information about the rights holders and the list of changes made are contained in the LICENSE and NOTICE.md files inside the downloaded disk image. In accordance with GPL v3, the source code of the desktop application is available for download: lumadeos-studio-source.tar.gz (or upon request at contact@learntoearn.global).

The application also contains audio processing models that run locally on your Mac: DeepFilterNet3 (speech cleanup, Apache-2.0/MIT license), Silero VAD v5 (speech detection, MIT) and WeSpeaker ResNet34-LM (speaker recognition, MIT). The full license texts and links to the original sources are in the NOTICE.md file inside the disk image.

The cloud part of the Service is a separate work and is not subject to the GPL. The rights holders of the open-source components are not providers of the Service, do not endorse it and bear no obligations whatsoever in respect of it.

9. Companies (Team Accounts)

• A company account is created by its owner. The owner and administrators manage members, roles, personal limits and payment, and see all of the company’s content, the activity log and members’ usage. Each member sees their own content and content shared with them; content can be deleted by its author or an administrator.
• For content and members’ data within the company, the company is the controller of personal data and the Provider processes them on its behalf. The owner is responsible for the lawfulness of inviting members and for ensuring they have read these Terms of Use. We conclude a data processing agreement (DPA) on request.
• A removed member loses access to the company’s content; the content remains with the company. The company’s plan allowance is shared by all members.

10. Connected AI Assistants and Third-Party Services

• AI assistants (MCP). You may connect an AI assistant (for example Claude or ChatGPT) or another program to Lumadeos via the MCP protocol — to the cloud and to the Mac application. The assistant acts on your behalf within the access granted: it creates tasks, changes videos and projects, and spends the minutes and tokens of your plan. You are responsible for the actions of connected assistants as for your own. Access can be revoked in the MCP settings or by changing your password (which ends all sessions).
• Accounts of third-party services (for example Krea, Higgsfield). You may connect your own accounts of third-party generation services to Lumadeos. You confirm that you are entitled to use such an account and agree to the terms of the relevant service. Lumadeos sends your requests (prompts, images, videos) to the service only on your instruction or the instruction of your agent. Such generations are paid by you directly to the provider; the Provider does not charge for them and is not responsible for the availability, quality, cost, licensing terms or content of third-party results. You can disconnect at any time — stored access tokens are then deleted.

11. Miscellaneous

We may amend the Terms of Use by publishing a new version on this page; we will notify you of material changes by email or in the dashboard. Continued use of the Service constitutes acceptance of the amendments. Nothing in these Terms of Use limits the rights granted to you by the mandatory consumer protection law of your country of residence. The law of Ukraine applies; disputes are resolved by the court at the Provider’s location, unless mandatory rules of the law of the consumer’s country of residence provide otherwise.
